Federal Compass is dedicated to protecting your privacy. Our Privacy Policy describes the information and data that is collected on our website (www.federalcompass.com) or acquired from other sources.

We will amend this Privacy Policy with any changes and will notify our users of any significant changes via email. Federal Compass recommends that all users monitor this Privacy Policy for any future changes.

1. What Information Does Federal Compass Collect?

a.
Data Rights and Sources:
i.
Federal Compass collects data from multiple sources, to include publicly available datasets and datasets provided by Customers through specific agreements. Except for data specifically identified as personal, usage or sensitive information, Federal Compass maintains rights over all data that exist within the platform.
ii.
Federal Compass conducts significant normalization of this information to increase the usability of the raw source data. This process relies on us accessing additional information sources that are also publicly available.
iii.
We acknowledge that the information available on our website is dependent on the accuracy of Federal government reporting. Any concerns or issues regarding our source data should be directed to the appropriate Federal employee(s). Federal Compass does not have the legal right or authority to alter this source data.
iv.
Federal Compass reserves the right to use data rights to enhance or modernize existing products, as well as introducing new products.
b.
Personal Information:
i.
Describes the information that is collected whenever a registration is completed. The personal information we collect includes the user's name, contact information and company name.
ii.
Personal information also includes information that is publicly available on the internet (Google, etc…) or social media sites (LinkedIn, Twitter, etc…)
iii.
To govern our Terms of Use and Acceptable Use Policy, we capture your IP Address to establish and verify your domain name. To protect our community of users, you may experience difficulties in registration if you are using an e-mail provider or generic domain name.
c.
Usage and Product Interaction Information:
i.
Usage and product interaction information refers to the information we collect as a by-product of your voluntary use of the Federal Compass website.
ii.
We log the activity of our users to include IP addresses, browser type, domain names. Additionally, we track all the pages, content, and downloads viewed by each user.
d.
Sensitive Information:
i.
Is described as payment information and user-provided information that exists on Federal Compass
ii.
Payment information is generated when we collect all the information necessary to process the credit card fee for the Subscription service. We use a third-party PCI-compliant service to conduct all of our credit card transactions. Federal Compass will never capture or maintain your credit card or billing information
iii.
Federal Compass offers multiple instances of “User-Defined Fields” throughout our product. These fields support user-generated content that adds context to our analysis and information. We consider all of these fields to be proprietary to our users and therefore, sensitive information. Federal Compass does not use or share this information.
e.
Third-Party Information Sharing
i.
Federal Compass uses third-party software within the framework of our architecture. We do not provide these third-parties with access to our Customer's personal information.
f.
Cookies, Tracking and Analytics
i.
We collect and retain information from cookies, along with other tracking and analytical technologies.
g.
Data Aggregation and Anonymization
i.
Federal Compass reserves the right to aggregate and anonymize all government source data, in addition to usage and user-defined field data.

2. How Does Federal Compass Use Collected Information?

a.
We Do Not Sell or Share Personal Information:
i.
Federal Compass respects the privacy of our users and will not sell or share their personal, usage or sensitive information
b.
Enhance Functionality and Usability
i.
The primary use-case for collected information is to develop statistics and analysis that offer us insights into our products. User behavior and interest is an invaluable directional tool for future development and product modernization.
c.
Content Notifications, Product Marketing, and Subscription Information
i.
A key feature within Federal Compass is the potential for any user to mark their interest in specific content or add content to their pipeline. We use this information to notify users of updates for marked, or pipeline content.
ii.
Periodically we will communicate trends and analysis within a user's area of interest.These communications provide our users with relevant macro and micro-level trends and events.
iii.
When necessary, we will use personal information to notify our users of significant changes within our Privacy Policy and Terms of Use.
iv.
On a periodic basis, we may need to communicate with our users based on their subscription. The content of this communication includes general subscription information, usage and satisfaction surveys
v.
Every user can set the level and frequency of notifications to manage the flow of information from Federal Compass.

3. Does Federal Compass Share Your Personal or Sensitive Information?

a.
Significant Events
i.
Any event that causes a change of ownership would result in the new parent company receiving user's personal and usage information. We will notify users before any such event.
b.
Legally Compelled Release
i.
Federal Compass will comply with any requests associated with a court order or legal process. In such an event, we would provide personal and usage information within the scope of the request.
c.
Social Media
i.
Federal Compass may offer links to relevant social media providers and partners, please note that our Privacy Policy does not extend to any site other than Federal Compass

4. How Can You Manage and Protect Personal Information?

a.
Password Complexity and Security
i.
Federal Compass encourages every user to create complex passwords for any subscription service, including our service. To protect your data and abide by our Terms of Service, we request that users never share their login credentials. Every user is responsible for the security of their password, and Federal Compass is not liable for the loss of personal information that results from negligence or the sharing of passwords.
b.
Self-Service Access
i.
Every user can access their profile and change any of their existing personal information. Except for their email addresses, as we use these to generate and manage subscriptions.
c.
Access Management
i.
It is the responsibility of every member company to manage employee access. We recommend that member companies immediately cancel a terminated employee's subscription. Federal Compass is not responsible for auditing or managing users for any member company.
d.
Anti-Spam Policy
i.
Our Acceptable Use Policy is in effect for us and our customers, which prohibits unsolicited emails in violation of applicable laws. As required, we also provide the opportunity for recipients to opt-out of future communications. Additionally, using Federal Compass to conduct spam campaigns violates our terms, and will result in subscription termination.
e.
Data Privacy
i.
Federal Compass has built our platform using Google Cloud. We are, therefore, dependent on the security protocols maintained by Google. While we have high confidence in Google's security capabilities, we can make no guarantee that a data breach could never occur.

5. How Is Your Sensitive Data Protected?

a.
Data Security
i.
Federal Compass employs a variety of mechanisms to protect senstive data, including AES 256-bit MAC encryption of all data, at rest and in transit; layered data segmentation with full-stack authentication.
b.
Password and Token Security
i.
Passwords are hashed and salted; Multi-factor authentication is required by default for all users.
c.
Compliance
i.
Federal Compass is SOC 2 compliant and security procedures are in place to protect the confidentiality of your data.

Data Retention Policy

a.
What is our policy for data retention?
i.
Sensitive Data: Federal Compass recommends that no sensitive or competitive information is stored on our system, though we will delete any unintended entry upon request
ii.
Existing Customers: Federal Compass will never intentionally delete any existing customer data, including aging and historical information.
iii.
Expired Subscriptions: All expired accounts will be deactivated, and all data will still be protected under permission-based access rules, meaning the information will never be shared or published.
b.
Do we delete data after subscription cancellation?
i.
Federal Compass accounts are still accessible following deletion, though functionality will be limited. We will retain user-defined data if it represents a valid business need.
ii.
Should a previous customer opt to reactivate their subscription, they will find their account configured and user-defined information as it previously existed.
c.
Do we maintain payment information?
i.
Federal Compass uses a third-party payment processing company to ensure that payment data is managed using industry best practices for security.
ii.
Though payment information may be entered via the Federal Compass page, that information is not maintained with the Federal Compass platform.
d.
Can I request Federal Compass to delete my data?
i.
Federal Compass will review any requests and validate the request to identify any malicious actors or unauthorized requests.
ii.
Requests may be submitted to support@federalcompass.com; you must include your company name in the request. Federal Compass reserves the right to contact the user identified as the administrator for both existing and previous subscriptions.
iii.
Federal Compass will confirm in email form when data has been deleted.
e.
Can I request a download of my data?
i.
Existing customers can download all data accessible through our download features. Federal Compass will not be required to provide custom downloads.
ii.
Customers who have opted out of their subscription are responsible for taking advantage of the ability to download information before the end of their subscription.
iii.
Due to the nature of Federal procurement data, which is updated constantly, Federal Compass will not be compelled to provide a download of information for previous customers.

Terms of Service

Federal Compass Terms of Service

Upon reading and accepting the following Terms of Service, you acknowledge that you are entering into an agreement with Federal Compass, Inc. ("Federal Compass"). Within the Terms of Service, we define all relevant aspects of this relationship. We strongly recommend that you read the entirety of this document before accepting the Terms of Service.

We encourage all of our users to monitor our Terms of Service for any changes and we will notify all users, via email, of any significant changes.

1. Definitions

a.
“Agreement” upon entering into a paid contract with Federal Compass, you are accepting our Terms of Service. Which means that you have read and will comply with all guidelines identified within this document. The Agreement collectively includes these terms and any Subscription Agreement, Service Agreement or Orders.
b.
“Subscription Agreement” establishes an agreement between the Customer and the Company for future transactions in accordance with the Agreement. The use of an Agreement is customer dependent and are established on a as needed basis.
c.
“Customer” refers to any company with an active Service Agreement or Subscription Agreement.
d.
“Evergreen” Agreements are considered effective until terminated.
e.
“Order” Refers to an order against an existing Agreement to purchase access to the Federal Compass platform. In lieu of an established Agreement, an Order refers to a signed transaction to acquire access to the Federal Compass platform. Orders include the contract price required for the Customer to receive the preferred services from the company.
f.
“Existing Product Features” Upon signing an Agreement or an Order, a Customer agrees to the current features listed in the product. The company reserves to update product features which may require additional costs.
g.
“Onboarding and Training Packages” These services are included as part of some packages and available as an ala carte add-on for all other subscriptions.
h.
“User” or “Seat” refers to any Customer who has accepted our terms of service and has completed a registration for “paid” access to our content. Federal Compass subscriptions grant access to an individual user. Additional users are required to register to gain access to Federal Compass.
i.
“Platform” refers to the website maintained by Federal Compass, Inc.
j.
“Application Programming Interface” or "API" we support a dedicated API for select CRM systems, while offering API documentation for Customers to connect to CRMs not currently supported.
k.
“Add-on” or “Ala Carte Feature” refers to features and capabilities a Customer may choose to add to their base account.
l.
“Multi-Year Subscription” Federal Compass allows for a Customer to reduce the cost of ownership by committing to multiple year Agreements. Regardless of the payment terms in signed Agreement, a Customer is responsible for the payment of all terms identified in the multi-year contract.
m.
“Payment Terms” refers to schedule of payment agreed up on by the Customer and company. Options include a one-time annual payment, four quarterly payments, two semi annual payments or 12 monthly payments.
n.
“Good Standing" refers to a Customer who has made payments on-time as determined by their Agreement.
o.
“Denial of Service” Federal Compass reserves the right to suspend or terminate any account where a delinquent payment has not been resolved or when the Customer fails to maintain an active payment method.
p.
“Affiliate Subscription” refers to a negotiated subscription fee between Federal Compass and a consulting firm. A consulting subscription will reflect your intent to repackage or repurpose our data for the sole purpose of reselling that information.
q.
“Annual Subscription” Federal Compass subscriptions that are limited solely to a 365-term.
r.
“Auto Renew” Customer acknowledges that the company will assess renewal fees automatically at the end of each term. A Customer commits to an additional year of service by not providing an adequate cancellation notice. The Customer is responsible for cancelling the subscription prior to their renewal date.
s.
“Credit Card Fee” Fees collected by institutions, which result from the use of a credit card for purchases.
t.
“Subscription Fees” or "Pricing Schedule" refers to the combined price point for the number of seats and tiers that Customer wishes purchase.
u.
“Sales Tax” Federal, state and local sales taxes associated with purchasing the Federal Compass platform.
v.
“Invoice Term” refers to time allowed between contract ratification and Customer satisfying all fees associated with their subscription. Federal Compass reserves the right to approve invoice terms on a case-by-case basis.
w.
“Late Payment Fees” Penalties assigned to payments beyond the terms agreed upon in the Agreement.
x.
“Renewal Term” refers to the recurring charges that offer you an additional term of access at the end of each term.
y.
“Cancellation” means that Federal Compass will cease to charge any additional renewal fees. The Customer acknowledges that cancellation does not affect your current term or previous payments for annual subscriptions. Furthermore, the Customer acknowledges that they are responsible for providing a cancellation prior to their renewal date. Furthermore, a cancellation at any time during an existing term will not result in a refund or change the Customer's obligations for the existing term.
z.
“Termination for Cause” refers to the right of Federal Compass to terminate a subscription that violates the Terms of Service, Acceptable Use, or Privacy Policy.
aa.
“Payment Information” means the credit card or ACH information provided by a Customer during the account registration process. By signing an Agreement, and providing payment information the Customer acknowledges that Federal Compass has the right to collect subscription and renewal fees.
ab.
“Collections” A third-party collection firm will be contacted to resolve delinquent payments.
ac.
“You”, “your”, or “Customer” refers to a company who is actively using a Federal Compass subscription.
ad.
“Our”, “us”, “we” or “the Company” means Federal Compass.
ae.
“Administrator” means a user who has administrative rights to grant or revoke access and make changes to the subscription.
af.
“Assignment” and “Auditing” The Customer is responsible for assigning access to seats and auditing their user access.
ag.
“User generated information” refers to contextual information added to Federal Compass data via user-defined fields, pipeline tools and content marks. This information is considered specific and proprietary to a user or member company.
ah.
“Nature of Digital Content” means that this is not physical, but a digital product. And that our refund policy reflects the nature of digital content
ai.
“Publicly Available Data” refers to data that is free and available to any citizen or company.
aj.
“Credentialed Data” refers to data that is secured behind a credential sign-on wall.
ak.
“Free Trial” Customer acknowledges that a free trial offers a limited duration demonstration of the Federal Compass platform.
al.
“Data Rights” Federal Compass has rights over all data collected and cannot be compelled to delete any data.
am.
“Data Aggregation and Anonymization” refers to the rights held by Federal Compass aggregate and anonymize all data held by Federal Compass’ except for sensitive payment information and user's personal login information.

2. General Terms

a.
Access: A Customer's level of access and number of seats is determined by the signed “Agreement”, which includes a “Subscription Package”, which details the Customer's intent to purchase specific capabilities within the Federal Compass platform. Upon signing the Agreement, the Customer agrees to the “Existing Product Features” and is not guaranteed access to any additional enhancements for product additions. Access may also be granted by an “Order” in lieu of establishing an “Agreement”, such an “Order” is for “Existing Product Features” only.
b.
Availability. Our goal is to ensure that you have access to your subscription 24 hours a day, 7 days a week. We are unable to anticipate any availability disruptions that could arise from our cloud-provider or the publicly available sources we rely on for content.
c.
Subscription Duration: Federal Compass provides an “Annual Subscription”, though “Payment Terms” are controlled by the “Agreement”, a Customer commits to a one-year term or the defined term outlined in their “Agreement”.
d.
“Subscription Fees” or Contract Value: A Customer commits to a “Subscription Package” and price point for those services, upon signing an “Agreement” with the company. The “Agreement” clearly defines the cost associated with all “Subscription Packages” and “Add-On” services.
e.
“Invoice Terms”, “Delinquent Payments”, and “Denial of Service”: Unless otherwise indicated in the “Agreement”, a Customer is required to provide payment before services and access are rendered to a Customer. Failure to promptly provide payment information will result in a “Denial of Service” action and potential escalation to a “Collections” third-party. Denial of Service does not alleviate the Customer's obligation to pay the full amount identified in the Agreement.
f.
“Payment Terms”, “Good Standing”, and “Denial of Service”: If an “Agreement”, indicates an annual, monthly, quarterly, or semo-annual payment, the Customer will be expected to make payments as determined by the “Agreement”. A breach of payment terms or an overdue invoice will result in an immediate “Denial of Service” action and potential escalation to a “Collections” third-party. “Denial of Service” does not alleviate the Customer's obligation to pay the full amount identified in the “Agreement”. Furthermore, Federal Compass reserves the right to accelerate payment collection, including requiring full upfront payment of the outstanding balance, if a Customer is on monthly, quarterly or semi annual terms is delinquent.
g.
“Late Payment Fees”: For a Customer with a delinquent account to return to “Good Standing” they must pay “Subscription Fees”, in addition to assessed “Late Payment Fees.” And the account is considered delinquent until the late fees have been resolved. A Customer is responsible for satisfying all delinquent payments and late fees to avoid punitive actions from the Company.
h.
“Evergreen”, “Auto Renew”, “Renewal Term” and “Cancellation”: The “Agreement”, indicates the window for cancellation, and the Customer must a provide a written cancellation notice prior to the expiration of that window. Should a Customer wish to stay on or fail to cancel at the appropriate time, the company expects prompt payment for the following annual subscription. A failure to pay or an overdue invoice will result in a “Denial of Service” and potential escalation to a “Collections” third-party. A Customer's failure to cancel the subscription does not alleviate the Customer's obligation to pay the full amount associated with the renewal. If a Customer does not update payment information leading to a failure to collect payment, a “Denial of Service” action will be taken immediately. Any such Denial of Service does not alleviate the Customer's obligation to pay the full amount of the renewal as communicated by the Company in the form of reminder emails or an invoice.
i.
“Payment Information” and User-Registration: Unless explicitly defined in the signed “Agreement”, the Customer is required to promptly provide a credit card or ACH method of payment when committing to a subscription. By providing a credit card or ACH payment method, the Customer authorizes the Company to process payments against invoices using that payment method. The company has sole discretion over offering terms of payment and payment methods outside of those described above. Such agreement or understandings will be captured in the agreement. Furthermore, a Customer, unless otherwise stated in the “Agreement”, is required to keep payment information updated with the Company.
j.
Seat Assignment and Password Security. Member companies and administrators who have provided access to multiple users are responsible for managing that access. We highly recommend that administrators frequently review “Assignment” and “Auditing” for their user list to avoid any unnecessary renewal fees. Federal Compass will not be required to refund a subscription fee due to access management oversight. Every user is responsible for the strength and security of their password. We highly encourage users to avoid sharing their login credentials with any co-workers or colleagues. Federal Compass is not liable for any financial or business damage that happens due to such unauthorized access.
k.
Use and Limitations. Federal Compass expects all users, member companies, and administrators to comply with our Acceptable Use Policy. Additionally, we expect that all users, member companies, and administrators will comply with the following use and limitations guidelines. Authorized users are those who have access based on a current Agreement. This access does not extend to co-workers or partner companies. It is prohibited for any user to employ any automated system, web crawler, web scraper or reading technology of any kind. Federal Compass reserves the right to responds to breaches of this agreement by issuing an immediate “Termination for Cause” or “Denial of Service” until the breach is resolved. In any of the above events, the Customer is not relieved of their obligation to pay the full amount of the signed Agreement. Any such lack of payment will be considered delinquent and subject to punitive actions from Federal Compass.
l.
“Termination for Cause”, “Denial of Service” and “Cancellation”. Federal Compass reserves the right to respond to any violation of our Terms of Service, AUP, and Privacy Policy. When actions lead to termination or expiration of your subscription, you forfeit your right to access marked or pipeline content. Federal Compass will not be compelled to provide any user content after a subscription has either been terminated or allowed to expire. In any of the above events, the Customer is not relieved of their obligation to pay the full amount of the signed “Agreement”. Any such lack of payment will be considered delinquent and subject to punitive actions from Federal Compass.
m.
Competitive Research and Consultancies. It is a violation to share your access or download our content for the sole purpose of providing that access or content to a competitor or consultancy. This includes competitors who willfully enter into a subscription for the sole purpose of competitive research. Federal Compass reserves the right to terminate the subscription of any offending user.
n.
Domain and IP Address Collection. We enforce our Acceptable Use Policy by tracking the domain and IP address of our users during each visit. At any time that we detect an unauthorized domain, we reserve the right to suspend the subscription pending an investigation of the unauthorized access.
o.
“Onboarding and Training Packages”. Federal Compass provides Customer support in the form of training, product demonstrations, and technical issues. We provide the ability for our users to request support both in the application and through email. Our goal is to respond within one business day, and we strive to resolve communications as quickly as possible. Federal Compass offers these services as part of a limited number of “Subscription Packages” and on as an “Add-on”. Federal Compass will not provide these services if they are not included in a “Subscription Package” or purchased as an “Add-On”.
p.
Marketing Rights. By acknowledging these terms and conditions you grant Federal Compass marketing rights. We reserve the right to use your company's name and logo in future marketing.
q.
Platform: Federal Compass offers Software as a Service (SaaS) market intelligence and pipeline tools “Platform”. Available to Customers in various “Subscription Packages” based on a Customer's needs.
r.
“Cancellation”, “Nature of Digital Content” and Refunds: A Customer has the right to cancel their subscription at any time, however the company will not refund any “Subscription Fees”, as the “Nature of Digital Content” places the company at risk, that a Customer can capture a significant amount of information prior to cancellation. A Customer on monthly, quarterly or sem- annual payments is required to satisfy all payments defined under the “Agreement”, a cancellation does not relieve the Customer of making these payments.
s.
“Administrator”. A Customer will determine which user will act as an administrator, these users have super-admin capabilities to manage the account. Every account will require at least on administrator to manage the account.
t.
“Affiliate Subscription”. Federal Compass reserves the right to determine if a prospective Customer or Customer can receive an “Affiliate Subscription.” This subscription allows Customers to engage with their Customers (i.e. consultant and Customer relationship), an affiliate account is responsible for their Customer's experience and any edits made to their Customers environment. When an account is established via an affiliate subscription, the affiliate takes on all responsibilities and liability for their Customer's experience.
u.
“User Generated Information”. Federal Compass offers multiple user defined options to include Pipeline Settings, Task, Notes, CRM capabilities, and User-Defined Fields. Federal Compass may at times anonymize and aggregate these fields, however, the content of this information is considered “Sensitive Information” and will never be shared, sold or provided to any other Customer or consultant.
v.
“Publicly Available Data” and “Credentialed Data”. Except for “User Generated Information”, all data in Federal Compass is captured through public websites or through websites behind a credentialed sign-on. In all cases, this information is maintained by the Federal Government, Federal Compass cannot be held liable or be expected to edit source data which is maintained and edited by the Federal Government.
w.
“Free Trial”. Federal Compass reserves the right to offer a Customer a free trial, the company has no commitment beyond the duration of that free trial and cannot be compelled to provide updates or data based on what the prospective Customer experienced during their free trial. At the end of free trial an “Agreement”, “Subscription Package” and payment are required to sustain access.
x.
“Credit Card Fee” and “Sales Tax”. Customers who prefer to use credit cards as their primary payment method are required to pay any processing fees, which will be added to their invoice. Customers are additionally responsible for any Federal, State or Local sales tax which will be based on the address of their company.
y.
“Multi-Year Subscription”: A Customer who signs an Agreement, which includes a multi-year commitment, is responsible for all payments for the duration of that Agreement. The Customer has no rights to cancel early with the expectations of a refund.
z.
“Application Programming Interface”. Federal Compass provides an API for specific SaaS platforms including Salesforce and HubSpot. Federal Compass is not responsible for setting up any of these services, our only responsibility to is to provide the API so that information will push into the Customer's account for one of theses services. The company does provide API documentation; however the company is not responsible for supporting the implementation into any software not currently covered. Customers are responsible for use the API documentation and must develop the necessary API solution for their software solution.
aa.
“Data Rights”. Federal Compass holds the rights over any data sourced from its connectors and crawlers, whether publicly available or captured through a credentialed source. Federal Compass reserves the right to use this data to create new products or offerings, though in some cases the company will only provide aggregated and anonymized data.
ab.
“Data Aggregation and Anonymization”. Federal Compass reserves the right to use all data covered by the company's Data Rights and user-provided data that is cleaned of links to a specific member company, aggregated across multiple Customers and reproduced for marketing, training or product purposes.

3. Legal Terms

a.
Personal Information. Federal Compass will never sell or share your personal information with third-party sources or other users
b.
User-Generated Data. Federal Compass encourages all of our users to add context to our data through our user-defined fields. Regardless of the sensitivity of these fields, we consider these to be proprietary information and will never sell or share that information.
c.
Usage Tracking, Analytics, and Cookies. Federal Compass views each users activity on our platform to be proprietary to that user. We use this data internally, to determine future product development, and to monitor website performance. Federal Compass will never collect this information for the purpose of selling or sharing it with third parties or other users.
d.
Data Privacy. While we never share or sell any personal or usage information, our data security is dependent on the security protocols of our cloud-provider. While we have confidence in that provider's security capabilities, we can make no guarantee in regards to data security. Federal Compass limits access to personal information and usage history to a limited number of internal employees.
e.
Proprietary Rights. A subscription is for the sole purpose of gaining access to Federal Compass solutions. It does not provide any user or member company with any license or rights to our software, intellectual property, or normalized data. Federal Compass will actively communicate with our users via meetings, surveys, and voting sessions. You acknowledge that any interactions provided to us, regardless of the form, will not be considered confidential unless expressly cited as confidential. For all communications deemed not confidential, Federal Compass owns all the rights to any development or modernization that results from that communication. Federal Compass will not be held responsible for any payment or attribution of enhancements that result from these communications.
f.
Indemnification. Customer will indemnify, defend and hold Company harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of (a) unauthorized or illegal use of the Subscription Service by you, (b) your noncompliance with or breach of this Agreement, (c) your use of Third-Party Products, or (d) the unauthorized use of the Subscription Service by any other person using your User information. We will: notify you in writing within thirty (30) days of our becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on Company; (ii) requires Company to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on Company without Company's prior written consent.
g.
Disclaimer Warranties. Federal Compass develops our content based on publicly available information, including data provided by the United States Federal Government. While we conduct significant normalization of this data, we make no material changes to the information. We have no right or authority to alter the raw data that we collect. The sources that we use are the only publicly available sources of data provided by the Federal government in regards to the financial accounting of contracts awarded by the government to government contractors. We are dependent on the accuracy of the Federal government and are not responsible for inaccuracies that may exist within that data.
h.
No Direct Damages. To the extent permitted by law, in no event shall either party be liable for any indirect, incidental, punitive or consequential damages, or loss of profits, revenue, data or business opportunities.
i.
Limitation of Liability. With the exception of your liability for payment of subscription fees, usage-based fees, your liability arising from your obligations under the ‘idemnification’ section, and your liability for violation of our intellectual property rights, if, notwithstanding the other terms of this agreement, either party is determined to have any liability to the other party or third-party, the parties agree that the aggregate liability of the party will be limited to the total amount you have actually paid for your current term preceding the event giving rise to the claim.
j.
Third-Party Products. We disclaim all liability with respect to third-party products that you use. Our licensors shall have no liability of any kind under this agreement.
k.
Agreement to Liability Limit. You understand and agree that absent your agreement to this limitation of liability, we would not provide the subscription service to you.
l.
Amendments to Terms of Service. We reserve the right to amend any part or all of these Terms of Service to include subscription fees and terms We will always post and inform our users, via email, of any changes to our Terms of Service. We recommend that users also periodically view our Terms of Service were the last modified date provides the date at which these terms were most recently amended. We offer a thirty (30) day grace period in which any of our users may contact with concerns over any amendments to this user agreement. Upon the renewal of your subscription all prior changes to the Terms of Services will be applied.
m.
Force Majeure. Neither party will be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions; or other event outside the reasonable control of the obligated party. Each party will use reasonable efforts to mitigate the impact of a force majeure event.
n.
Actions Permitted. Except for actions for nonpayment or breach of a party's proprietary rights, no action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one (1) year after the cause of action has occurred.
o.
Relationship of the Parties. You and we agree that no joint venture, partnership, employment, or agency relationship exists between us.
p.
Severability. If any part of this Agreement or an Order Form is determined to be invalid or unenforceable by applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in effect.
q.
Entire Agreement. This Agreement (including previous MSA, Subscription Agreement, Service Agreement, TOA or Order), along with our Privacy Policy and Acceptable Use Policy, is the entire agreement between us for the Subscription Service and supersedes all other proposals and agreements, whether electronic, oral or written, between us. We object to and reject any additional or different terms proposed by you, including those contained in your purchase order, acceptance or website. Our obligations are not contingent on the delivery of any future functionality or features of the Subscription Service or dependent on any oral or written public comments made by us regarding future functionality or features of the Subscription Service.
r.
Assignment. You will not assign or transfer this Agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of your assets, change of control or operation of law.
s.
No Third-Party Beneficiaries. Nothing in this Agreement, express or implied, is intended to or shall confer upon any third party person or entity any right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
t.
Contract for Services. This Agreement is a contract for the provision of services and not a contract for the sale of goods. The provisions of the Uniform Commercial Code (UCC), the Uniform Computer Information Transaction Act (UCITA), or any substantially similar legislation as may be enacted, shall not apply to this Agreement.
u.
Authority. Each party represents and warrants to the other that it has full power and authority to enter into this Agreement and that it is binding upon such party and enforceable in accordance with its terms.
v.
Survival. The following sections shall survive the expiration or termination of this agreement: ‘Definitions', ‘General Terms', and ‘Legal Terms'.
w.
Precedence. In the event of a conflict between the terms of the Terms of Service and the Subscription Agreement, the terms of the Subscription Agreement shall govern and control.
x.
Collecting Delinquent Payments: Federal Compass reserves the right to engage a third-party collections firm to collect delinquent payments. The Company further reserves the right to use other legal means to collect delinquent payments, to include Arbitration or other legal avenues. Customer agrees that any legal disputes will be resolved through the Fairfax County, VA courts. In the event that the Company utilizes and third-party or must pursue legal recourse to collect delinquent payments, the Customer is responsible for all collection fees, court fees and legal expenses in addition to any outstanding delinquent payments and assessed late fees.

This Acceptable Use Policy ("Policy", or "Acceptable Use Policy") outlines unacceptable use of the Federal Compass Platform, which interacts with, or accesses, the Internet (the “Services”). This Policy is in addition to any other terms and conditions under which Federal Compass provides the Services to you.

Federal Compass may make reasonable modifications to this Policy from time to time by posting a new version of this document on the Federal Compass website at the current URL. Revisions are effective immediately upon posting. Accordingly, we recommend that you visit the Federal Compass website regularly to ensure that your activities conform to the most recent version.

The examples listed in this Policy are not exhaustive. Prohibited uses and activities include, without limitation, any use of the Services in a manner that, in Federal Compass's reasonable judgment, involves, facilitates, or attempts any of the following:

a.
Violating any law of, or committing conduct that is tortuous or unlawful in, any applicable jurisdiction;
b.
Displaying, performing, sending, receiving or storing any content that is obscene, pornographic, lewd, lascivious, or excessively violent, regardless of whether the material or its dissemination is unlawful;
c.
Advocating or encouraging violence against any government, organization, group, individual or property, or providing instruction, information, or assistance in causing or carrying out such violence, regardless of whether such activity is unlawful;
d.
Accessing, sending, receiving, displaying, performing, disclosing, storing, or executing any content a) in violation of any copyright, right of publicity, patent, trademark, service mark, trade name, trade secret or other intellectual property right, b) in violation of any applicable agreement, or c) without authorization;
e.
Transmitting highly sensitive personal information of an individual in a manner that can be associated with the individual, such as Social Security number, government-issued identification number, health or medical information, credit card or debit card number, financial account information, access codes and PINS, or date of birth;
f.
Obtaining unauthorized access to any system, network, service, or account;
g.
Interfering with service to any user, site, account, system, or network by use of any program, script, command, or otherwise;
h.
Introducing or activating any viruses, worms, harmful code and/or Trojan horses;
i.
Sending or posting unsolicited messages or e-mail, whether commercial or not, a) to any recipients who have requested that messages not be sent to them, or b) to a large number of recipients, including users, newsgroups, or bulletin boards, at one time;
j.
Evading spam filters, or sending or posting a message or e-mail with deceptive, absent, or forged header or sender identification information;
k.
Holding Federal Compass or its affiliates up to public scorn or ridicule; and/or
l.
Reselling Federal Compass's services, in whole or in part, to any entity or individual, without Federal Compass's prior written consent, or misrepresenting your relationship with Federal Compass.
